The Sunday Times front page splashed with news of a forthcoming AIM IPO in the music streaming world, Electric Jukebox. AIM-listed Lansdowne Oil and Gas (LOGP) seems to have pulled off a neat trick in beating all the favourites (see HERE) in the race to become the next oiler to admit that its shareholders are toast. This morning an RNS was released entitled Capital Reorganisation, which comes in the wake of the company having lost out on a judgement in the Court of Appeal alongside fellow AIM-listed oiler Providence Resources (PVR). Having seen its shares consequently suspended pending financial clarification, today the company has a plan…..well, a bit of one at any rate.

Quindell is unravelling at a rate of knots. Once the biggest stock on AIM probably will not exist by the time of UK Investor on April 18 2015. It is hat-tip time once again to Jason. He’s understandably a bit miffed - he feels that Dart Shareholders were not given full disclosure of the true picture with IGas (IGAS) ahead of the recommended takeover of Dart in relation to the shareholding of IGas CEO Andrew Austin. He thought that Mr Austin actually HELD almost 11m shares in the company offering its own paper to buy Dart, but it seems that in fact he held fewer than 3,500,000 shares, with the rest in the form of an option. I would feel the same in his shoes. And so I thought it time to get to the truth about Mr Austin’s director interests and director holdings.

In certain circumstances share buybacks make sense. Where a company has surplus capital and cannot think of a way of earning an economic return on that capital it is absolutely right that it is returned to shareholders via buybacks. I prefer them to special dividends because one can elect to sell less or no stock or to stay on board with a bigger percentage of the equity. It is down to the individual investor. And it is right that surplus capital should be returned to the company’s owners (shareholders) not simply be hoarded by management.

But it is EIS eligible so if you are a higher rate taxpayer you effectively pay 19p and – ok – you have to hold for 3 years – but you will pay no CGT. Frankly this is a nil brainer.

Lucian Miers says that he does not like to meet companies. He is all too aware that part of the job of a CEO is to butter up potential investors, or to persuade bears not to go short. CEO’s are paid large sums to be charming and persuasive and Lucian is concerned that they will manage to schmooze him into making a bad call. I take a different view.
