I wrote about the rather unexciting merger between Schoold and Lingo Media that FastForward Innovations (FFWD) announced in March (HERE) but with Lingo Media recently issuing its full year results, I felt it merited an update. They don’t make great reading and I’m beginning to wonder whether the deal will actually go ahead.

Hello Share Gatherers. Totally (TLY) is a smallish healthcare company I think I've deserted too quickly. And now, even though I am no longer a shareholder, I still think this is a reasonable punt.

There has been much merriment in the bear community recently with the spectacle of short seller Marc Cohodes more or less single-handedly exposing the shenanigans at Toronto listed sub-prime lender Home Capital Group on his twitter feed. The debacle has now become main stream news in Canada and Marc has attained a kind of rock star status amongst his burgeoning army of followers.

Noting recent coverage of AIM-listed Eden Research (EDEN) and its, ahem, “interesting” funding arrangements with Terpenetech here on ShareProphets I have a question: given that it appears that Eden is the only holder of paid-up shares in Terpenetech, does that not mean that Eden holds the only (currently) valid voting rights? And if that is the case, is not Eden in fact the ultimate controlling party? And if that is the case, should Terpenetech be viewed as a 100% owned and controlled entity of Eden - a subsidiary, therefore, and have to release full audited accounts?

1Spatial (SPA) is a spatial data and IT managed services-focused company the team here has followed for a while. The shares rose from sub 2p in 2012 to reach more than 10p in early 2014, before sliding back to circa 5p in 2016 - and declining further post an 18^th October announcement of results for the half year ended 31^st July 2016. However, since early March a share price recovery has been in progress – and we are confident that there is more to come from here…

AIM-listed Advanced Oncotherapy (AVO) has a calendar year-end and as such its six-month deadline to publish accounts falls on 30 June – the end of next month. That means getting an audit done which will involve, amongst other things, agreeing the Going Concern statement. Yesterday’s share price plunge might have more than a small bearing on how conversations go in that regard.

How often do you see a small AIM company raise a good whack of money relative to its market cap (in this case the new shares issued are just under 20% of the enlarged total) and still see its shares go up on the day? Once in a blue moon. Well it has happened with Falanx (FLX), whose shares closed at 7.5p-8p.

Shares in AIM dog Advanced Oncotherapy (AVO) closed Friday at just 21p. That is below the 25p nominal meaning that death spiral provider Bracknor cannot convert any more loan notes without taking a huge loss and, if that continues, it means the company will go tits up in the summer. Or the former Malcolm Stacey darling will need to approve a capital reconstruction to set a new nominal (2.5p?) which will see the shares plunge, so meaning Bracknor physically can't convert loan notes so Advanced will go tits up this summer.
