Amazingly the shares are up on the deal at 62p. This is madness and this remains a stonking short.

I look at Burford (BUR), Falanx (FLX), IQE (IQE), Xaar (XAR), Providence Resources (PVR) and Lansdowne Oil & Gas (LOGP). I forgot to mention Restaurant Group (RTN) but Chris "Three Brains" Bailey, again, covers it very well HERE and he is right. It is a slam dunk sell. Lucian Miers reckons it might just be a zero.

IQE Interims – look at that shiny new debt facility: sell

Published 78 days ago

Bulls claim to be delighted. Having issued a shocking profits warning on June 21, IQE has served up half year numbers which reconfirm full year guidance. There is no follow up profits warning. Well not yet. But bears have real reasons for cheer. Having stated in June that it could operate within its existing £27 million overdraft into Q1 2020, we see today that the company has secured an additional £30 million asset financing (expensive debt). Ok, no bailout placing pro tem but a sign that cash continues to be burned.

IQE – In the dock as the Equities First scandal re-emerges with an incomplete and therefore misleading statement

Published 106 days ago

We have not heard from Equities First Holdings (EFH) for a while, but regular ShareProphets readers may remember the scandal which emerged five years ago whereby directors of AIM companies announced they were buying shares when, if fact, they were selling vast numbers of them to EFH with the right, but not the obligation, to buy them back. Such fine enterprises as Rob Terry fraud Quindell (QPP – now Watchstone), Igas (IGAS, under Andrew “piggy” Austin), Cloudbuy (CBUY), Angle (AGL), Optimal Payments (OPP) and, of course, IQE (IQE) were all dragged in. Well now Drew Nelson, CEO of IQE has done another deal with EFH – and the announcement stinks. Has the company learned nothing from last time, when all of the above companies had to restate and restate again?

In the podcast I look at IQE (IQE) and Equitites First Holdings, at Iconic Labs  (ICON), the SVS fallout, Vela (VELA) and Tertiary Minerals (TYM) and at Sirius Minerals (SXX). And also at share options in general and why I oppose them in all cases.

Reader Poll: IQE appoints new Nomad and broker so what price is the bailout placing?

Published 121 days ago

We warned you two days before the most recent profits warning from IQE that one was on the way, HERE,  and when it arrived it meant that the company was a slam dunk cert to need a bailout placing. Today we discover that Canaccord has been axed as Nomad and replaced by Peel Hunt while Citigroup joins the party as co broker. This can only mean one thing, that bailout placing is imminent. So with the shares at 52.4p on Friday (and overvalued at that) at what price do you think the placing will be at? Vote below with a deadline of midnight tonight.

Ouzo O’clock in North Wales, misery in the valleys as IQE warns (as predicted)

Less than 48 hours later the Cardiff dog duly barks. As a long term bear I have repeatedly warned silly sell side analysts, Thirsty Paul Scott and others that this company is a crock…once again I stand vindicated. And so to detail….it is grim.

IQE – sell the rally

Published 295 days ago

It is not, in my view, a great time to be shorting UK names which are sensitive to the underlying market direction as I believe that the UK market, currently suffering from peak uncertainty from Brexit, could see a major re-rating in the event of any solution bar a general election, particularly if there is some sort of fudge of May’s deal which is, I think, the most likely outcome (I am long FTSE 250 not 100 futures to avoid currency considerations). This is not to say that I have downed tools completely on the short side in the UK...

Notes from Underground: It's not often we say it's better to be more like the Guardian than The Scotsman

Crowdfunded Dutch media outfit De Correspondent has moved into the US market and is on target to raise $2.5 million. Meanwhile, dead tree news provided Johnston Press has been given over to its debtors.

Tom Winnifrith Bearcast: Itching to tell you something and lessons for Thirsty Paul Scott & others from TrakM8

Published 369 days ago

I can't say what but it is a game changer. I do however discuss the Brexit omnishambles. I then look at why thirsty Paul Scott got TrakM8 (TRAK)  and IQE (IQE)) so badly wrong as the former utterly unravels today. Is it down to the flaw at the heart of the Stockopedia system which seems to have entered Paul's thinking. I look at the lessons for us all from this debacle. I also cover today's news from Adept4 (AD4)

Tom Winnifrith Bearcast: the time of year when my hatred of Amazon mounts

Published 372 days ago

I explain why I am cursing Amazon almost daily. I look at redemptions and fund managers a problem lurking under the surface but also how do private investors react to stocks going to zero or doing an IQE (IQE). I look at worrying data from China and then at Utilitywire (UTW) - another Neil Woodford car crash - and at Interserve (IRV). Ouzo for Nigel Somerville soon I sense.

IQE Clarifies profits warning: as predicted the “crowded bear trade” supports share price (for now)

Published 372 days ago

I noted last night in my bonus bearcast that the real short position in IQE was, whatever the FCA says, probably well North of 20% and that as bears used the profits warning as a reason to close out what is clearly a “crowded trade” this would provide some share price support. And so it has come to pass.  The shares are up 4p at 71p having fallen 29p in late trade Monday. IQE has also clarified its profits warning and that has offered some comfort. It won’t last. You see it is all about cash.

Tom Winnifrith Bonus Bearcast: Excuse the triumphalism but crack out the fecking ouzo - IQE shocker profits alert

Published 373 days ago

Ten miniutes before the close IQE (IQE) issued a shocking profits alert. The shares crashed 29% to 67p. Where will they go tomorrow? Excuse the triumphalism but I have been the biggest IQE bear going and, again, I say to my critics I was fucking well right and you are morons.  All is explained in this bonus podcast. PS If any moaning Taffies bleat on about the content well go feck yourselves and get over it.

Notes from Underground: How I parlayed £100 to £7,000,000 in Bitcoin. Did I say parlayed? I meant, missed out on.

Published 437 days ago

I first heard about Bitcoin in 2010, when it was it was about 5 cents per coin. At the time, I thought that maybe I should buy £100 of it to see what it's about. Things being what they were at the time, I never bothered. My back of the envelope calculation says that £100 in 2010 would have been worth around £7,000,000 today, and that's after a recent crash.

Bombshell: IQE Photonics - Fading fast?

Published 508 days ago

Last week I wrote about how IQE’s (IQE) latest annual filing revealed that were it not for one major customer, IQE’s business would have gone pretty much nowhere. Therefore all the excitement and value increase appears heavily reliant on that one major new customer. Today we highlight how at its recent AGM, on 4 June, IQE provided guidance of a 40:60 revenue split for H1:H2 2018, indicating either a slowdown or (as some may hope) merely a deferring of growth.

IQE and the £630m customer? Crackers valuation metrics - sheer insanity

And yet IQE’s most recent filing (year to 31 Dec 2017), reveals a company where, were it not for one new major customer, the remaining business would have demonstrated declining revenue and profit.

Trapped! My Remaining IQE Shares are Currently Untradable. Disaster - or Maybe Not

Published 524 days ago

Hello Share Sweepers. You may know that I made an awful lot of gelt out of an early investment in IQE (IQE), the Welsh lot who make thingies for mobile phones and other stuff (Don’t you marvel at my technical expertise?). Reacting, as I near always do, to Tom’s advice to sell fast last year, I got rid of three-quarters of my IQE shares. But I’m a superstitious soul. So I did dare not part with all my shares, which have probably made me the most profit ever from a single punt. This has proved a bit of a disaster, as now I would like to sell my remaining holding.

Purplebricks – problems with property management? When will it fess up?

Published 526 days ago

I noted in a bearcast last week that the lack of a year end trading statement from Purplebricks (PURP) as has in the past been its wont – was a bad sign. If it had any good news at all to mention after the profits alert in march it would have told us about it. Instead silence.  Well a source close to the company say one bit of news it could have released is, er more bad news.

Tom Winnifrith Bearcast: The missing trading statement from Purplebricks and does IQE need to warn?

Published 530 days ago

I start on a rather sad personal note. Then it is onto Purplebricks (PURP) and the missing FY trading statement. Does that mean that the great day of a big de-rate looms? I look at UK Oil & Gas (UKOG) in light of today's scoop, at Strat Aero (AERO) where if you look at the real maths the current ramp has created a joke valuation, at the People's Operator (TPOP) which should be sent to Dignitas and finally at IQE (IQE) where I ask if a profits warning is imminent? 5% of Bearcast listeners have donated to the Woodlarks charity walk but 95% have not! . We are now at 26% of our £20,000 target. As I prepare for a step up in my training walks tomorrow - pushing Joshua for 7.5 miles - to those who have  donated I say thank you. No! Not Neil Woodford silly! The data about who is the UK's top fund manager is very clear and unless you hold the charts upside down it certainly is not Woodford. The hard data shows that Mark Slater was not only the 3rd best performing UK fund manager last year but over ten years is No 1. Facts don't lie - Slater, like his late father Jim - is just incredibly good at stock picking.

Tom Winnifrith Bearcast - why won't the Mrs come to see the new Death Wish as her birthday treat?

Published 596 days ago

Only kidding! Death Wish, which is not, as you might think, hapless Mayor Khan's new tourist promo video for London, is not out until Friday. So I gave the Mrs a far more suitable present for her birthday but what to give my Labour party loyalist sister Comrade N?. Back to the Mrs: I sense that I shall be watching the new Bruce Willis movie alone. I digress. In today's bearcast I look at Weatherley International (WTI), the fraud MySquar (MYSQ), Pathfinder Minerals (PFP),  Air Partner (AIR), Sosandar (SOS), IFG Group (IFP), IQE (IQE) - where I try not to be tasteless as I flag a difficult issue but apologise in advance if I offend anyone - and Purplebricks (PURP). If you like bearcasts then remember that at UK Investor on April 21 one of many highlights will be a live bearcast with myself and Paul Scott. Tom Winnifrith Bearcast: Malcolm with respect you are talking complete bollocks on IQE

Published 608 days ago

Two days, two bull articles on IQE (IQE). It has worked and I have been goaded here is is why Malcolm Stacey is talking bollocks. I also reference the fraud Eden Research (EDEN) in this discussion on profit being a matter of opinion and that is why cash matters. I discuss why being a liar is bad news as a CEO ref Mkango Resources (MKA) then tease Andrew Monk and Richard Jennings about Gulfsands Petroleum (GPX) - their oil analysis as bad as their Syria analysis on this occasion. Then it is onto Flybe (FLYB) and a detailed discussion of the looming cash crisis and joke valuation at Sound Energy (SOU). I suggest SalvaRx (SALV) run by my good friend Jim Mellon faces a bit of a cash issue. Then I explain why I have cut my UK Oil & Gas (UKOG) target price to just 0.25p making it, at 1.125p, still a slam dunk sell.  If you like bearcasts then remember that at UK Investor on April 21 one of many highlights will be a live bearcast with myself and Paul Scott. More Thoughts on IQE, the Share which Divides

Published 608 days ago

Hello, Share Shouters. As any piece on IQE (IQE) rockets to the top of the ShareProphets leaderboard, there’s obviously oodles of interest out there. But whether anyone wants to comment further on this well-discussed share is another matter. Nevertheless, here are a few more thoughts on the company that divides some writers familiar to this spiffing website.

Tom's Right to Bemoan IQE's Cash Generation - But it Doesn't Necessarily Mean the Shares Won't Shine

Published 609 days ago

Hello, Share Snafflers. So IQE’s (IQE) full-year results are out and once again they fail to electrify the City. This led to a full analysis of the new numbers by a sceptical Uncle Tom. As you’d expect, this investigation is fiercely penetrative. And once again, we owners of the stock are frightened to death by what Tom says.

Two Pauls and a Nigel - learn value investing from the masters at UK Investor on April 21- today's offer

Published 613 days ago

Value investing is how you make money from shares. Any other approach is not investing but speculating and is, by definition, hit and miss. So do you want to know what Britain's leading value investors are thinking and what shares they are buying and selling? Today's special opportunity is.... Three great value investors will be on stage together discussing how they select stocks and what they are buying and selling at the Global Group UK Investor Show in London on April 21. They are: Paul Scott, Britain's top share blogger, Nigel Wray, the man known as Britain's Buffett, and Dr Paul Jourdan the boss at the hugely successful Amati fund management operation.

To IQE or Not IQE? That is the Question - as the Full-Year Results Loom

Published 614 days ago

Hello, Share Teasers. We are now only a few days away from the latest set of figures from IQE (IQE). And once again I face an irritating quandary on what to do with my remaining holding. This cache of shares isn’t as large as it used to be. That’s because only a fool disregards negative comments on this magnificent website. It probably has the best investigative writers in the City. But even the best shorters get things wrong, so I retain some IQE shares.

Slater is the UK's most successful fund manager of the past decade. He will give the final speech of the day explaining where he sees the market, what shares he is buying, what he is selling and why. If there is a man to follow it is Mark. Neil Woodford is perhaps the country's highest profile fund manager and makes millions for himself.

More Evidence that IQE Shorters Could Be Cruising for Bruising

Published 621 days ago

Hello Share Shelvers. When Uncle Tom writes about IQE (IQE) we know we can expect a disparagement of its record on making money. He questions the company’s valuation, believing the shares to be worth less than they are currently valued at. That’s a reasonable view and it’s based on the fundamentals. But does it give proper credit to the company’s future potential? I think not - which is why I wrote a piece suggesting that shorters were taking a big risk with IQE.

Tom Winnifrith Photo Bearcast: FFS DO NOT WAKE JOSHUA

Tom Winnifrith Bearcast: IQE owning shitheads you deserved today's kicking and there will be more to come

Published 650 days ago

In today's podcast I start with a follow up on Steve's excellent piece on Gattaca (GATC) where the COO is surely an insider dealer like Yosi Fait but as with Yosi nothing will happen as London regulation is a joke.  Then I look at IQE after today's bombshell from Muddy Waters (see HERE). Those who lost cash deserved to for ignoring so many prior warnings. I only celebrate the losses suffered by some of them.

BREAKING: IQE - now the shit really hits the fan: Muddy Waters goes short and publishes the bombshell dossier below

Published 650 days ago

Legendary US bear raiding outfit Muddy Waters has announced that it is short of IQE (IQE). It dismisses Matt Earl's Shadowfall dossier of last week as only partially getting there and has published its own devastating report slating IQE as an "egregious accounting manipulator". Don't mess with Muddy Waters, anyone out there still owning this stock should sell NOW!. Muddy notes:

Tom Winnifrith Bearcast: A Tired Philadelphia Eagles fan - why did I bother waking up?

Published 653 days ago

For reasons mainly to do with girls (well two of them) I have always been a Philadelphia Eagles fan. The last time they won a championship, Hurst, Peters and Moore were playing for West Ham - the two teams have a lot in common. Anyhow I stayed up late and for once fortune is not always hiding. Why did I get up? The market is a sea of red and I discuss that. I look at IQE (IQE) after chatting to Matt Earl, at Woodford Patient Capital Trust (WPCT), Inspirit (INSP) and at Shield Therapeutics (STX). Nomates Neil Woodford has not replied to my polite invitation of yesterday

IQE counters on Matt Earl dossier - but does it? Methinks not.... keep selling: Earl hits back

Published 653 days ago

IQE (IQE) has, this morning, attempted to hit back at Matt Earl's devastating dossier published on Friday, HERE. The statement, crafted by evil and hugely expensive PR spinners FTI, naturally seeks to point out that Earl's Shadowfall fund is short so gains if the share price goes down. No doubt house broker Stifel which has earned millions from IQE will publish a bullish report later. Will IQE issue an RNS flagging up its COI? No. Earl himself has hit back at the hit back telling ShareProphets:

FCA short positions table: more bad news for Woodford ahead?

Published 653 days ago

I have been taking a look through the FCA table of registered short positions, following my piece on Interserve of Friday. I don’t offer anything exhaustive, but the largest individual short positions interested me as they are as high as 5.42% of the capital. That’s quite a bet. Oh, and just as it happens, Neil Woodford features with two of them. They are also all stocks where we at ShareProphets have been bearish.

Tom Winnifrith Bearcast: I hope Persimmon's Mr Fairburn tells the fat cat fund managers where to stick it & keeps his £110m

Published 654 days ago

The scandal over fat cat bonuses at Persimmon (PSN) is something that we were the first to expose back in September of last year way before the national press got onto the case. The real villains are the Government but also the overpaid and negligent City fund managers who agreed to this scheme. They are now trying to shift the blame onto the bosses, notably CEO Jeff Fairburn, but this is about blame shifting not what is in the best interests of shareholders. I then look at wider market wobbles mentioning, en passant, IQE (IQE), SnapChat and other examples of lunacy.

IQE - How this plays out Monday Morning & a heartfelt apology from me

Published 654 days ago

I see that smarmy lefty millionaire comedian Bob Mortimer is boasting in today's Sunday Telegraph about how he bought IQE (IQE) as a penny stock and it is now 163p. Methinks not Bob. I warmed folks to sell at 138.5p in a detailed dossier published in October HERE. Matt Earl's 36 page note of Friday has really set the cat among the pigeons. The shares are 104p but will - I suspect - tank on Monday.

Today's bad news for Britain's most conceited fund manager, Neil "Nomates" Woodford is a savage note on Purplebricks (PURP) by broker Jeffries setting a 94p target as you can see HERE.  I discuss why this target could be too low or could be far too generous but the shares are certainly a slam dunk sell. I look at IQE (IQE) in light of Matty Earl's bombshell note HERE. There is comment on Online BlockCrap (OBC) and a look behind the headline numbers and the turd polishing which shows why Mobile Streams (MOS) is so deep in the unpolishable merde

The text of the RNS (just as with Igas, Cloudbuy, IQE, Quindell, Optimal Payments (as was) and Angle) again fails to point out that from Mr Lloyd-Baker’s point of view the deal is non-recourse so he can throw in the towel at any time if things go wrong.

Why You Can't Ignore the Magnificent Maths of Penny Shares.

Published 751 days ago

Okay we have been bullish on this one since the shares were 8p – when we bought our shares –  but it has not raced ahead in recent months as much as we would have expected. The market simply has not appreciated the importance of recently announced deals and also the business model. Once it does, and that will come as other big deals are announced, the shares will move ahead very sharply indeed.

IQE Stands for I Question Everything. Why Uncle Tom is Wrong this Time

Published 792 days ago

Hello, Share Cavaliers. It’s rare that I keep returning to shares I’ve commended to you. But the case of IQE (IQE) is so intriguing and knife-edge that I think it might be worth keeping under review. As I write the share is up another 6%. It has been seesawing up and down, rather alarmingly, for a few weeks now. Uncle Tom had a go at my support for this stock in a recent bearcast. He argued that the shares are hopelessly over-valued and to take profits might be the more prudent course.

Interesting bearcast on IQE, but I'm afraid you're completely wrong on this says Paul Scott

Published 793 days ago

I am, on balance, bearish on IQE (IQE) - not as a slam dunk it'sgoing to zero - I just think the shares are seriously overvalued as I explained in a weekend bearcast HERE. But Britain's top share blogger Paul Scott disagrees. The great man writes:

It is my son's first birthday today - how time flies! I start with a look at inflation. It is back! And the greed of the lazy public sector workers (demonstrated clearly HERE) will fuel it which means interest rate rises ahoy. I suggest this has clear implications you should not ignore. Then I take a detailed look at IQE (IQE),its last results, investor perceptions and explain why I believe that the shares at 131p are a very poor risk reward play for the bulls like Comrade Stacey.

Why IQE is One of the Most Difficult Shares I've Ever Encountered

Published 796 days ago

Hello, Share Scrappers. One of Blighty’s most tricky shares, IQE (IQE) is still causing consternation in Shareland. After a long period of rising almost every day, there is some retracing going on now. I sold all my shares at 140p. Since then I’ve bought half of them back at around 155p. This was a mistake. But I’m not blaming myself because the good publicity for the microchip company keeps rolling in.

The bit about naked women explains itself but is of course a cue to link to the photo articles on Quindell's & Cloudtag's daftest shareholders, semi naked sisters Kate & Hayley. China and the UK property crash elaborates on the points I made in the property crash bearcast HERE. And then we turn to the question of can you find a thousand bagger, the new ASOS (ASC) . I ask this because of Malcolm's words on IQE (IQE) HERE and because I am just about to make a large new investment - could it be the next ASOS? It won't be but I explain why that does not mean I am not excited.

IQE Has Become My Riddle of the Sands. Help!

Published 833 days ago

Hello Share Japers. The riddle over quite why IQE shares keep on rising is no nearer to being solved. Given the lack of news and lack of confirmation of swirling rumours about a big deal with Apple, you would expect the recently-rocketed share price to level off. If not degenerate into the usual ‘lack of news slide’. But each day I log on I am delighted, though at the same time rather alarmed, to see the share price scale new heights.

Not the same calibre of stars as the old 1957 classic, though. No Yul Brynner, Charles Bronson or Steve McQueen, but very entertaining nonetheless. The film has inspired me to choose my own Magnificent Seven.

The Dash to Buy Soaraway IQE May Not Be Over Yet

Big Grant Helps Avacta Sort Sheep From Goats - and Up Goes the Share Price

Hello Share Twirlers. I’m indulging myself lately by featuring a few of my picks that are doing rather well at the moment. The last one we looked at was IQE, the electronics pioneer, which has been rattling ahead after a rather poor period, when I’m glad to say, I managed to hold my nerve. Now the share seems pretty perky. Today’s success story is Avacta (AVCT).

Hello Share Spongers. We are still happily in a bull market. But it’s a very lazy bull that’s driving it. I know volumes are low as many a trader has left his desk for the family’s sake during school hols. But even so, the Footsie is not working very hard. And the Dow is even worse. On most days recently, it has hardly moved (either way) at all.

Shares Should Shoot Past 7,000, Despite what the Gloomsters Say.

Published 1215 days ago

Hello Share Shapers. I've had a very eventful week. My ARM (ARM) and IQE (IQE) holdings, both rather similar companies, both shot ahead. One on a take-over probability (ARM) the other on a bullish trading update. Such are the possibilities of our golden game, that a whole year of lacklustre performance for my portfolio was suddenly bounced back into the black. That's why we should never despair, gang. There is always a good story for us lurking round the next corner. And the rewards we accrue can sometimes be nearly as good as winning the pools.

Hello Share Fiends. As ARM (ARM) is likely to be taken over at a juicy premium for shareholders of 42% on the pre-news price, it is only fitting that we look at another company in (very) roughly the same line of business. It is another of my limited stable of technological shares and it's called IQE (IQE).

Urban & Civic – board changes and the stench of EFH that just won’t go away

Published 1335 days ago

Fully listed Urban and Civic (UANC) has announced a series of board changes. It looks like a pretty comprehensive round of musical chairs and from a corporate governance point of view it is good to see the role of CEO and Chairman being split. Optimal Payments and Cloudbuy – nervous moments as EFH margin calls loom

Published 1593 days ago

Last year Optimal Payments (OPAY) was forced to come (semi) clean over a loan package between its CEO, Mr Joel Leonoff, and Equities First Holdings LLC (EFH). Optimal originally told that market on 1 April 2014 that Mr Leonoff had pledged 1.5 million shares in the company as collateral for a loan of approx. £4m, but failed to mention a few details such as the non-recourse nature of the package and that EFH was free just to dump the stock into the market. This did not become clear until it was exposed on ShareProphets last autumn and resulted in a number of clarifications from Optimal, along with AIM-listed Igas (IGAS), Cloudbuy (CBUY), Quindell (QPP), IQE (IQE) and Angle (AGL).

The Equities First Holdings LLC Scandal – an open letter to the FCA and AIM Regulation

Published 1697 days ago

Enough is enough. Tom Winnifrith’s revelation that EFH has dumped the entire holding of 2.25 million shares transferred to it by Cloudbuy (CBUY) Chairman Ronald Duncan is shocking. It makes a total mockery of the disclosure requirements demanded by the FCA and AIM Regulation and as such I have today written an open letter to the heads of those two bodies, Mr Marcus Stuttard and Mr Martin Wheatley.

Cloudbuy – time to clarify as EFH default looms. Who will be next?

Published 1700 days ago

Last year ShareProphets broke the scandal of AIM company directors taking loans from Equities First Holdings LLP (EFH) and entering into sale-and-repurchase agreements over shares in their companies as collateral. There were various conditions which would trigger a default which required either the transfer of further shares or cash to EFH, or there was the option just to walk away. Within days the first of the AIM companies (Quindell) saw former boss, the insider dealer, Mr Robert Simon Terry walk away under the non-recourse terms – he kept the money. Now a second one is on the hook.

Equities First holdings LLP: is Cloudbuy the next victim?

Published 1711 days ago

Last year ShareProphets broke the story of how Equities First Holdings LLP was doing stock loans to AIM listed companies whereby the stock was sold to EFH who were then themselves free to sell the stock into the market. Because these deals appear to have margin call clauses, substantial falls in the price of the stock can trigger a default. It may come as no surprise, then, that the share prices of the stocks concerned have not seen universally stellar performance.

Markets, corruption, failure of regulation and how the Establishment reacts to scandal with denial

Published 1725 days ago

I am struck by the similarities between the myriad of scandals on AIM – and now the main market – exposed here on ShareProphets and the various horrendous scandals that we have, as a country, been faced with in recent times. Perhaps it might be seen as a grubby comparison to liken financial wrongdoing to the scandals of abuse with reference to Saville, Rotherham as well as the Hillsborough tragedy. But the similarities are there: the failings are the same and as a country we need to face it.

EXCLUSIVE – Has ShareProphets Forced the FCA into a clarification re EFH and IGas?

Published 1769 days ago

ShareProphets broke the story of the Equities First Holdings LLC (EFH) loans scandal back in November 2014. We nailed the EFH six – IGas (IGAS), Quindell (QPP), Optimal Payments (OPAY), Cloudbuy (CBUY), IQE (IQE) and Angle (AGL) for not giving adequate disclosure of the dealings of their directors with regard to deals with EFH. All those companies were in the end (and some rather more reluctantly than others) forced into clarifications. But it turns out that the FCA has also issued a clarification too!

REVEALED!! The Loophole That AIM-Cesspit Clients of Equities First Exploit

Published 1769 days ago

One year ago, IGas Energy CEO Andrew Austin deceived his shareholders. He issued an RNS claiming to have bought 300,000 of his company’s shares, when in fact he had net sold 7,200,000. After weeks of painstaking research, and on the anniversary of this shameful episode, ShareProphets can exclusively reveal the loophole the like of Mr Austin have sought to exploit to get around the Disclosure and Transparency Rules (DTR) through their dodgy deals with Equities First Holdings LLC (EFH). The explanation is complicated, but the results are both shocking and appalling. Through EFH directors can sell stock and not declare it. The FCA must close this loophole now.

IGAS, Optimal Payments and Nomads Canaccord and Jefferies: Anything you should tell us?

Published 1804 days ago

Thanks to the joys of the internet we have a sample contract for those Equities First Holdings LLP (EFH) so-called loan deals. It makes fascinating reading  - you can read it HERE.Note that it is held on the USA’s Securities and Exchange Commission (SEC) website: I think we can assume it is genuine! Given that EFH is a one product company, this contract gives us a solid basis for a model contract with directors the EFH Six (Optimal payments, IGAS, Cloudbuy, IQE, Quenron and Aengle), which we can now test against disclosures made.

Optimal Payments – Time for More Equities First Clarifications

Published 1810 days ago

With IGas (IGAS) seemingly having to issue re-clarifications every few days (and there will be more I fancy…) we turn once again to Optimal payments (OPAY_. We have already forced out two clarifications (after hours Fri 15 Nov and pre-market Mon 17 Nov buried in a trading statement). It is striking that of the six plcs caught up in the EFH scandal, three have come fairly clean – notably Angle (AGL), but Cloudbuy (CBUY) and Quindell (QPP) have revealed much. IQE (IQE) has been fairly forthcoming too. And then there are IGAS and Optimal, who are having information dragged out of them only with the greatest of reluctance. For those two companies, our rope – like their shareholders – is long and strong.

IGAs & Total – is this why the company and hapless Nomad Jeffries won’t fess up?

Published 1823 days ago

In yesterday’s piece HERE   I discussed IGAS and its takeover of Aussie-listed Dart Energy with regard to disclosures not given to Dart’s shareholders about IGAS CEO Andrew Austin’s EFH ‘loan’ deal as announced by RNS on 16 Jan 2014, which had stated that Mr Austin had transferred shares in the company to Equities First Holdings as security for a loan. All the other companies caught up in the EFH scandal have clarified that the deal did involve the handing over of title and voting rights to EFH (i.e. they were disposals) albeit the ‘loan’ deal contains an option to buy the shares back. But IGAS and its Nomad still refuse to concede that Mr Austin’s deal was the same. So now we come to the farm-out deal with Total and its implications, the potential ugliness of which might finally get a full disclosure of the EFH deal out of IGAS and its ostrich of a Nomad.

The Exceptionalism of iGas, and the lessons of Morris v Equities First, LLC

Published 1829 days ago

Forget today’s news that a well has been spudded in some grim Northern welfare addicted hell hole. Let’s deal with the real issue here. On Friday 14th November iGas released a terse announcement: “IGas Energy notes the recent movement in its share price and confirms the detail contained in the statement on 16 January, in respect of Andrew Austin's facility with Energy First Partners LLP, is full and correct disclosure for the purposes of the AIM and Disclosure and Transparency Rules.” But it was not.

The Equities First Scandal - Its going to get worse, heads will roll - Tom Winnifrith BearCast Special

Published 1831 days ago

The AIM Casino scandal involving Equities First Holdings LLC is going to get an awful lot worse. Heads will roll with Optimal Payments (OPAY) and IGAS (IGAS) firmly in the firing line but directors at Cloudbuy (CBUY), IQE (IQE), Angle (AGL) and ,of course, Quenron (QPP) also exposed. For the latter, at least, this is probably not their greatest concern. The sad truth is that none of the six have said enough and ALL need to clarify the clarification statements. Until they do all six firms are uninvestable. This and specific crmes are examined in this podcast special.

Optimal Payments, Canaccord and the LSE this will not do – lets discuss the market abuse

Published 1831 days ago

Yesterday I wondered aloud whether Optimal Payments (OPAY) was going to be the sixth company in the EFH scandal. I was right on the money. The shares fell pretty much through the day, dropping 22% at the close – yet there was no news. All day long. Then after the market had closed, at twenty-one minutes past five GMT on Friday evening  (no-one is watching o’clock, local time) out came this statement:

IGAS, Cloudbuy, Quindell, Angle, IQE & Equity First - a Letter to the FCA

Infamous bear raider Lucian Miers has today written to the FCA regarding the Equity First Holding LLC scandal that iis tearing the heart out of the AIM Casino. Explianing clearly why market abuse has taken place he demands that heads roll. The letter follows:

Tom Winnifrith BearCast Special - The Equities First scandal - jail time & disgrace

Published 1834 days ago

In this BearCast Special I explain exactly how Equities First Holdings LLC operates. When it sells the shares AIM directors transfer to it and why that means that ALL of the AIM directors involved have broken the law. That is Quindell (QPP), IGAS (IGAS), Cloudbuy (CBUY), IQE (IQE) and Angle (AGL). There then follows the misleading statements. But then I turn to the negligence of Nomads, Cenkos, Canaccord and Hanson Westhouse and why that should be career ending for some. And the to why Equities First and its employees should be struck off by the FCA.  This scandal is enormous and for many involved professional disgrace is the least of their worries.

IQE plc – Equities First additional disclosures needed now

Published 1834 days ago

Earlier today on this website, Tom Winnifrith noted the additional disclosure provided by cloudBuy plc on its Chairman’s “security for a loan facility”, the description of which has now changed to a “sale and repurchase agreement which Mr Duncan entered into with Equities First Holdings LLC”. Like Nigel Somerville with cloudBuy, I hold shares in IQE plc (IQE) and am arguably doing myself few favours writing this, but given IQE directors also announced recent dealings with Equities First, they too now need to step up to the disclosure plate…

Equities First and a cancer at the heart of the AIM Cesspit

Published 1837 days ago

Hard questions are being asked about a series of loan arrangements to company directors whereby they hand over shares they own in their own companies as security for loans. In three cases the lender has been announced to be Equities First Limited LLC. In another two the lender is not named so we will just have to wait to find that out.

Cloudbuy and Angle Directors Loans – a Plague on their shareholders houses?

IQE, IGas caught up in the Equity First/Quenron scandal – best to stand aside for now

Published 1838 days ago

By next week it is more than likely that Quindell (QPP) shares will be suspended as the Equities First Scandal reaches boiling point as I explain again in today’s BearCast. That begs questions about IQE and IGas.

Quindell – was this the most misleading announcement ever?

Published 1840 days ago

On 5th November 2014 Quindell (QPP) announced that three directors had purchased £2 million worth of shares in the market. At the same time it was announced that the three directors had entered into a loan facility ‘that may result in the transfer of up to [all their] Quindell Shares’. So far – up to the last two words of the second sentence – we may accept every word of the text of the announcement as based on fact. But from then on, starting from the last two words of the second sentence, ‘as security’, every sentence and almost every word of the announcement (including the table) is a lie.

However, they have since recovered strongly and have nudged further higher today to 26.75p-27.25p on the back of a bullish update. They are still cheap.
