No I am not referring to Ed's stock picking system concluding that the Quindell (QPP) fraud was one of the 10 cheapest shares on AIM. Nor am I referring to it rating the fraud Globo (GBO) as a 92/100 BUY. It seems to me to be a certainty that he has not come clean over his loan that isn’t a loan, under which he is “obligated” to repurchase the shares he sold yet these deals are non-recourse (so he’s not “obligated” at all), where we were told he had cash put aside to meet margin calls but settled one with more shares, and where his margin call appears to have been reported well after the fact – or it was not the first – when, if I understand the rules correctly, all margin call matters and any other developments in relation to his EFH loan which isn’t a loan should be reported to the market within a few days.

We have heard nothing more from AIM-listed IQE over when head honcho Dr Drew Nelson received the dreaded margin call from Equities First Holdings (EFH) in relation to his non-recourse sale-and-repurchase deal involving (now) over 12 million shares. Yet as I noted on Monday, it seems pretty clear that we have not been told the whole truth and I shall be writing to AIM Regulation on that matter later today. But looking back, it seems there is something else which doesn’t quite match what we were told.

It may seem tasteless to consider such matters but the reality is that Covid 19 is spreading and whilst the numbers infected are still a drop in the ocean the fear is palpable and the effects on the real economy are already clear. The Fed may have slashed base rates by ½% earlier this week but, like the markets which promptly puked, I do not see this curing anything. Folks are not going to start spending again just because money is a bit cheaper, further cheap money will not solve a snagged up supply chain...

I am indeed with my father in Shipston this morning and even he has noticed that he is not quite as rich as he was two weeks ago. Shiuld we pamic about our holdings? On balance I am not suggesting that you do but certain stocks do look very vulnerable. Surely profits warnings from Telit (TCM), IQE (IQE) and Carnival (CCL) are in the pipeline. Then there is the issue of companies such as Bidstack (BIDS) which need placings urgently. Just how possible is that going to be in the current climate. Then to Sirius (SXX). The Sunday papers seem to think that sh\areholders may well reject the Anglo bid and so lose everything. I discuss this looming calamity, who is to blame and what the impact localised and more widely will be.

There will be some who say that shorting a stock because it is exposed to the fallout from Coronavirus and what may well soon be a global pandemic is Tasteless. They probably have no such complaints about going long of a company with a test for the product. I am sure we all pray that this human tragedy ends soon. But the reality is that right now it is growing and, notwithstanding today’s sell-off, many of us reckon the market in certain stocks fails massively to discount the downside risks.

It seems to be followers of Versarien (VRS) and Bidstack (BIDS) leading the charge but there is another matter as well. suffice to say, this has been a bloody week and as I celebeate my birthday this weekend I wonder how many more years this can go on for. The fact that the Miton Smaller Companies Fund has collapsed in value by around two thirds since the start of 2018 is pretty remarkable. It must be a real embarrassment to City grandee Gervais Williams who runs the fund. But his real shame should be in how the money was lost.

IQE PLC (IQE) has today announced that it is buying out its partners in a JV in Singapore. Quite simpoly this JV has been a financial disaster, not that this was ever reflected in IQE's accounts.Now it seems to have imploded with IQE's partners walking away. Amazingly the shares are up on the deal at 62p. This is madness and this remains a stonking short.

I have already covered the laughable claim made by Watchstone (WTG), Quindell as was, against Slater & Gordon (SGH). Watchstone has made great hay about the conterclaim which ithe gophers of the deadwood press have swallowed hook, ine and sinker. But the actual court papers, below, are damning for Watchstone/Quindell.

Bulls claim to be delighted. Having issued a shocking profits warning on June 21, IQE has served up half year numbers which reconfirm full year guidance. There is no follow up profits warning. Well not yet. But bears have real reasons for cheer. Having stated in June that it could operate within its existing £27 million overdraft into Q1 2020, we see today that the company has secured an additional £30 million asset financing (expensive debt). Ok, no bailout placing pro tem but a sign that cash continues to be burned.

We have not heard from Equities First Holdings (EFH) for a while, but regular ShareProphets readers may remember the scandal which emerged five years ago whereby directors of AIM companies announced they were buying shares when, if fact, they were selling vast numbers of them to EFH with the right, but not the obligation, to buy them back. Such fine enterprises as Rob Terry fraud Quindell (QPP – now Watchstone), Igas (IGAS, under Andrew “piggy” Austin), Cloudbuy (CBUY), Angle (AGL), Optimal Payments (OPP) and, of course, IQE (IQE) were all dragged in. Well now Drew Nelson, CEO of IQE has done another deal with EFH – and the announcement stinks. Has the company learned nothing from last time, when all of the above companies had to restate and restate again?

We warned you two days before the most recent profits warning from IQE that one was on the way, HERE, and when it arrived it meant that the company was a slam dunk cert to need a bailout placing. Today we discover that Canaccord has been axed as Nomad and replaced by Peel Hunt while Citigroup joins the party as co broker. This can only mean one thing, that bailout placing is imminent. On Wednesday I flagged up a profits warning from the Krauts at Siltronic and suggested that IQE (IQE) was likely to follow. Less than 48 hours later the Cardiff dog duly barks. It is not, in my view, a great time to be shorting UK names which are sensitive to the underlying market direction as I believe that the UK market, currently suffering from peak uncertainty from Brexit, could see a major re-rating in the event of any solution bar a general election, particularly if there is some sort of fudge of May’s deal which is, I think, the most likely outcome (I am long FTSE 250 not 100 futures to avoid currency considerations). This is not to say that I have downed tools completely on the short side in the UK...

I can't say what but it is a game changer. I do however discuss the Brexit omnishambles. I then look at why thirsty Paul Scott got TrakM8 (TRAK) and IQE (IQE)) so badly wrong as the former utterly unravels today. Is it down to the flaw at the heart of the Stockopedia system which seems to have entered Paul's thinking. I look at the lessons for us all from this debacle. I noted last night in my bonus bearcast that the real short position in IQE was, whatever the FCA says, probably well North of 20% and that as bears used the profits warning as a reason to close out what is clearly a “crowded trade” this would provide some share price support. And so it has come to pass. The shares are up 4p at 71p having fallen 29p in late trade Monday. IQE has also clarified its profits warning and that has offered some comfort. It won’t last. You see it is all about cash.

Ten miniutes before the close IQE (IQE) issued a shocking profits alert. The shares crashed 29% to 67p. Where will they go tomorrow? Excuse the triumphalism but I have been the biggest IQE bear going and, again, I say to my critics I was fucking well right and you are morons. All is explained in this bonus podcast. I first heard about Bitcoin in 2010, when it was it was about 5 cents per coin. At the time, I thought that maybe I should buy £100 of it to see what it's about. Things being what they were at the time, I never bothered. My back of the envelope calculation says that £100 in 2010 would have been worth around £7,000,000 today, and that's after a recent crash.

Last week I wrote about how IQE’s (IQE) latest annual filing revealed that were it not for one major customer, IQE’s business would have gone pretty much nowhere. Therefore all the excitement and value increase appears heavily reliant on that one major new customer. Today we highlight how at its recent AGM, on 4 June, IQE provided guidance of a 40:60 revenue split for H1:H2 2018, indicating either a slowdown or (as some may hope) merely a deferring of growth.

Two years ago today, IQE (IQE) was trading at 17p per share, valuing the company at c. £120 million. Today the shares are nearly 6x higher at 100p per share, valuing the business at £750 million; an astonishing £630 million increase in value. And yet IQE’s most recent filing (year to 31 Dec 2017), reveals a company where, were it not for one new major customer, the remaining business would have demonstrated declining revenue and profit.

Hello Share Sweepers. You may know that I made an awful lot of gelt out of an early investment in IQE (IQE), the Welsh lot who make thingies for mobile phones and other stuff (Don’t you marvel at my technical expertise?). Reacting, as I near always do, to Tom’s advice to sell fast last year, I got rid of three-quarters of my IQE shares. But I’m a superstitious soul. So I did dare not part with all my shares, which have probably made me the most profit ever from a single punt. This has proved a bit of a disaster, as now I would like to sell my remaining holding.

If it had any good news at all to mention after the profits alert in march it would have told us about it. Instead silence. I start on a rather sad personal note. Then it is onto Purplebricks (PURP) and the missing FY trading statement. Does that mean that the great day of a big de-rate looms? I look at UK Oil & Gas (UKOG) in light of today's scoop, at Strat Aero (AERO) where if you look at the real maths the current ramp has created a joke valuation, at the People's Operator (TPOP) which should be sent to Dignitas and finally at IQE (IQE) where I ask if a profits warning is imminent? 5% of Bearcast listeners have donated to the Woodlarks charity walk but 95% have not! . Hello Share Plodders. So the £100 million estimate that the administrators first gave for winding up Beaufort Securities seems wildly out. They now acknowledge it will be more likely to be £55 million. Well, we all make wrong guesses, though not usually £45 million ones. They’ve also reduced their earlier estimate of as much as four years to finish the job to a more likely two years. Another big ‘refinement’.

He questions the company’s valuation, believing the shares to be worth less than they are currently valued at. That’s a reasonable view and it’s based on the fundamentals. Friday is one of my two and a half days a week when my 17 month old son Joshua is not at nursery and I am the primary carer. I am such a fucking feminist it is unbelievable. The statement, crafted by evil and hugely expensive PR spinners FTI, naturally seeks to point out that Earl's Shadowfall fund is short so gains if the share price goes down. I don’t offer anything exhaustive, but the largest individual short positions interested me as they are as high as 5.42% of the capital. That’s quite a bet. The scandal over fat cat bonuses at Persimmon (PSN) is something that we were the first to expose back in September of last year way before the national press got onto the case. The real villains are the Government but also the overpaid and negligent City fund managers who agreed to this scheme. They are now trying to shift the blame onto the bosses, notably CEO Jeff Fairburn, but this is about blame shifting not what is in the best interests of shareholders. AIM-listed Cloudbuy (CBUY) issued a trading statement yesterday in relation to the full year to December 2017. The text of the RNS (just as with Igas, Cloudbuy, IQE, Quindell, Optimal Payments (as was) and Angle) again fails to point out that from Mr Lloyd-Baker’s point of view the deal is non-recourse so he can throw in the towel at any time if things go wrong.

Okay we have been bullish on this one since the shares were 8p – when we bought our shares – but it has not raced ahead in recent months as much as we would have expected. The market simply has not appreciated the importance of recently announced deals and also the business model. Once it does, and that will come as other big deals are announced, the shares will move ahead very sharply indeed.

Hello, Share Cavaliers. It’s rare that I keep returning to shares I’ve commended to you. But the case of IQE (IQE) is so intriguing and knife-edge that I think it might be worth keeping under review. As I write the share is up another 6%. It has been seesawing up and down, rather alarmingly, for a few weeks now. Uncle Tom had a go at my support for this stock in a recent bearcast. I had an oniine conversation with an FT reporter about the Telit affair over how the FT would rather credit some Italian newspaper than your obd't one stop source for free breaking news, expert analysis, and videos on AIM and LSE listed shares. They had to credit somebody given that the FT did not break the story themselves. How convenient for them. CityAM and other publications went with credititing nobody at all. The story broke itself!

It was good to see AIM-listed med-tech play Angle (AGL) announce that its CEO, Mr Andrew Newland, had successfully seen his sale-and-repurchase deal with Equities First Holdings LLC (EFH) mature at the end of its term, and that the 1.35 million shares involved were safely back in his mitts. Shareholders in Angle will welcome this – but so, it seems, does EFH. So pleased, in fact, that EFH itself released an RNS in celebration.

Hello Share Shapers. I've had a very eventful week. My ARM (ARM) and IQE (IQE) holdings, both rather similar companies, both shot ahead. One on a take-over probability (ARM) the other on a bullish trading update. Such are the possibilities of our golden game, that a whole year of lacklustre performance for my portfolio was suddenly bounced back into the black. That's why we should never despair, gang. There is always a good story for us lurking round the next corner. And the rewards we accrue can sometimes be nearly as good as winning the pools.

Last year Optimal Payments (OPAY) was forced to come (semi) clean over a loan package between its CEO, Mr Joel Leonoff, and Equities First Holdings LLC (EFH). Optimal originally told that market on 1 April 2014 that Mr Leonoff had pledged 1.5 million shares in the company as collateral for a loan of approx. £4m, but failed to mention a few details such as the non-recourse nature of the package and that EFH was free just to dump the stock into the market. This did not become clear until it was exposed on ShareProphets last autumn and resulted in a number of clarifications from Optimal, along with AIM-listed Igas (IGAS), Cloudbuy (CBUY), Quindell (QPP), IQE (IQE) and Angle (AGL).

Enough is enough. Tom Winnifrith’s revelation that EFH has dumped the entire holding of 2.25 million shares transferred to it by Cloudbuy (CBUY) Chairman Ronald Duncan is shocking. It makes a total mockery of the disclosure requirements demanded by the FCA and AIM Regulation and as such I have today written an open letter to the heads of those two bodies, Mr Marcus Stuttard and Mr Martin Wheatley.

Last year ShareProphets broke the scandal of AIM company directors taking loans from Equities First Holdings LLP (EFH) and entering into sale-and-repurchase agreements over shares in their companies as collateral. There were various conditions which would trigger a default which required either the transfer of further shares or cash to EFH, or there was the option just to walk away. Within days the first of the AIM companies (Quindell) saw former boss, the insider dealer, Mr Robert Simon Terry walk away under the non-recourse terms – he kept the money. Now a second one is on the hook.

I am struck by the similarities between the myriad of scandals on AIM – and now the main market – exposed here on ShareProphets and the various horrendous scandals that we have, as a country, been faced with in recent times. Perhaps it might be seen as a grubby comparison to liken financial wrongdoing to the scandals of abuse with reference to Saville, Rotherham as well as the Hillsborough tragedy. One year ago, IGas Energy CEO Andrew Austin deceived his shareholders. He issued an RNS claiming to have bought 300,000 of his company’s shares, when in fact he had net sold 7,200,000. After weeks of painstaking research, and on the anniversary of this shameful episode, ShareProphets can exclusively reveal the loophole the like of Mr Austin have sought to exploit to get around the Disclosure and Transparency Rules (DTR) through their dodgy deals with Equities First Holdings LLC (EFH). The explanation is complicated, but the results are both shocking and appalling. Through EFH directors can sell stock and not declare it. The FCA must close this loophole now.

Thanks to the joys of the internet we have a sample contract for those Equities First Holdings LLP (EFH) so-called loan deals. It makes fascinating reading - you can read it HERE.Note that it is held on the USA’s Securities and Exchange Commission (SEC) website: I think we can assume it is genuine! Given that EFH is a one product company, this contract gives us a solid basis for a model contract with directors the EFH Six (Optimal payments, IGAS, Cloudbuy, IQE, Quenron and Aengle), which we can now test against disclosures made.

With IGas (IGAS) seemingly having to issue re-clarifications every few days (and there will be more I fancy…) we turn once again to Optimal payments (OPAY_. We have already forced out two clarifications (after hours Fri 15 Nov and pre-market Mon 17 Nov buried in a trading statement). It is striking that of the six plcs caught up in the EFH scandal, three have come fairly clean – notably Angle (AGL), but Cloudbuy (CBUY) and Quindell (QPP) have revealed much. IQE (IQE) has been fairly forthcoming too. And then there are IGAS and Optimal, who are having information dragged out of them only with the greatest of reluctance. For those two companies, our rope – like their shareholders – is long and strong.

In yesterday’s piece HERE I discussed IGAS and its takeover of Aussie-listed Dart Energy with regard to disclosures not given to Dart’s shareholders about IGAS CEO Andrew Austin’s EFH ‘loan’ deal as announced by RNS on 16 Jan 2014, which had stated that Mr Austin had transferred shares in the company to Equities First Holdings as security for a loan. All the other companies caught up in the EFH scandal have clarified that the deal did involve the handing over of title and voting rights to EFH (i.e. they were disposals) albeit the ‘loan’ deal contains an option to buy the shares back. But IGAS and its Nomad still refuse to concede that Mr Austin’s deal was the same. So now we come to the farm-out deal with Total and its implications, the potential ugliness of which might finally get a full disclosure of the EFH deal out of IGAS and its ostrich of a Nomad.

Forget today’s news that a well has been spudded in some grim Northern welfare addicted hell hole. Let’s deal with the real issue here. On Friday 14th November iGas released a terse announcement: “IGas Energy notes the recent movement in its share price and confirms the detail contained in the statement on 16 January, in respect of Andrew Austin's facility with Energy First Partners LLP, is full and correct disclosure for the purposes of the AIM and Disclosure and Transparency Rules.” But it was not.

Each year a sell-out dinner takes place attended by over 1300 AIM company directors, Nomads, brokers, accountants, lawyers, analysts, people from the financial PR and investor relations industries and the media. It is the largest AIM gathering in the City calendar, according to the AIM AWARDS website, http://www.aim-awards.co.uk . Lots of mutual back-slapping goes on as they ‘celebrate outstanding achievement on the world’s most successful growth market’.

The AIM Casino scandal involving Equities First Holdings LLC is going to get an awful lot worse. Heads will roll with Optimal Payments (OPAY) and IGAS (IGAS) firmly in the firing line but directors at Cloudbuy (CBUY), IQE (IQE), Angle (AGL) and ,of course, Quenron (QPP) also exposed. For the latter, at least, this is probably not their greatest concern. The sad truth is that none of the six have said enough and ALL need to clarify the clarification statements. Until they do all six firms are uninvestable. This and specific crmes are examined in this podcast special.

The shares fell pretty much through the day, dropping 22% at the close – yet there was no news. All day long. In this BearCast Special I explain exactly how Equities First Holdings LLC operates. When it sells the shares AIM directors transfer to it and why that means that ALL of the AIM directors involved have broken the law. That is Quindell (QPP), IGAS (IGAS), Cloudbuy (CBUY), IQE (IQE) and Angle (AGL). There then follows the misleading statements. But then I turn to the negligence of Nomads, Cenkos, Canaccord and Hanson Westhouse and why that should be career ending for some. Earlier today on this website, Tom Winnifrith noted the additional disclosure provided by cloudBuy plc on its Chairman’s “security for a loan facility”, the description of which has now changed to a “sale and repurchase agreement which Mr Duncan entered into with Equities First Holdings LLC”. Like Nigel Somerville with cloudBuy, I hold shares in IQE plc (IQE) and am arguably doing myself few favours writing this, but given IQE directors also announced recent dealings with Equities First, they too now need to step up to the disclosure plate…

Hard questions are being asked about a series of loan arrangements to company directors whereby they hand over shares they own in their own companies as security for loans. In three cases the lender has been announced to be Equities First Limited LLC. In another two the lender is not named so we will just have to wait to find that out.

On 5th November 2014 Quindell (QPP) announced that three directors had purchased £2 million worth of shares in the market. At the same time it was announced that the three directors had entered into a loan facility ‘that may result in the transfer of up to [all their] Quindell Shares’. So far – up to the last two words of the second sentence – we may accept every word of the text of the announcement as based on fact. But from then on, starting from the last two words of the second sentence, ‘as security’, every sentence and almost every word of the announcement (including the table) is a lie.

Leading global supplier of advanced wafer products and services to the semiconductor industry, IQE (IQE) has announced results for a first half of the 2014 calendar year impacted by “a significant inventory correction in the wireless industry and the translational effect of a strengthening of the sterling exchange rate against the US Dollar”, though adding that “destocking was concluded during Q2 and customers are forecasting an upbeat second half”.

IQE (IQE) has announced in a trading statement that revenue was lower but that “a combination of efficiency gains, economies of scale, and sales mix has improved profitability “in the first half of 2014 and that it “is confident that the group remains on track to achieve its expectations for the full year”. Shares in semiconductor wafer manufacturer and supplier IQE plc (IQE) have offered a volatile ride since I tipped them on my Nifty Fifty website at a 28.5p offer price in December – hitting 36.5p in January and February before falling back, particularly following some (what look misguided) competition concerns to commence the current month at just 18p. However, they have since recovered strongly and have nudged further higher today to 26.75p-27.25p on the back of a bullish update. They are still cheap.

On January 10th IQE (IQE), the Wales based supplier of advanced semiconductor wafer products and services IQE announced a $75 million ($60 million on completion and $15 million payable on the third anniversary of completion) acquisition, a £16.5 million placing of new shares with institutional investors at 29p each and a 2012 trading statement. I recommended shares in AIM-listed IQE plc (IQE) at 24.75p in February of this year on t1ps.com – the site I founded in 2000 and left in September of this year. Shares in this leading global supplier of advanced wafer products and services to the semiconductor industry (which uses them to make the chips which form the key components of high-technology systems) now trade at 28.75p – so we are already a bit ahead here but could this be a red hot penny share? In the following I take a look at the outlook for the company from here…
