Anyone owning its shares will, one day, need to lube up and take what is coming to them - it is just a matter of when. Could that time be dawning; could the house of cards be about to collapse?
I have covered in some depth the numerous smoke and mirrors deals at Asimilar (ASLR) and it is an accident waiting to happen as its results today demonstrate very clearly. The company boasts net assets at the September 30th year end of £41.74 million. At 27.5p the market cap is £33.5 million. Put simply the market does not believe the net asset number. It could easily halve or, far, worse.
It looks like its turkey twizzlers only for the morons owning this stock on this Christmas Eve. As I have noted many times, Dev Clever (DEV) has been monstrously overvalued on fundamentals, promoted by ramping and worse. At 30p the company is valued at £180 million which for a loss-making entity, run from a lock up on an industrial estate and with half year sales of just £2.4 million is bonkers. But at least you could trade out of you wanted. You can’t now. The company says that it has asked the FCA for the suspension of trading in its shares. Just like you used to ask the headmaster to beat you for sinning at school. Whatever…

That is a message that Dev Clever (DEV) seems to ignore as it served up a trading statement to accompany news that the FCA was dragging its heels on approving a prospectus as noted HERE. But what of the trading statement? Natch Dev jerks off about its sales in the year to November 30.
On 12 April Dev Clever (DEV) a company already drowning in red flags exposed on this website announced the £54.75 million all share purchase of VLPL in India and we were told that “This acquisition of VLPL will be subject to the publication of an FCA approved prospectus by no later than 30 September 2021. An additional 30 million ordinary shares will be granted to VLPL CEO, Ankur Aggarwal, as an earnout consideration subject to achieving key milestones.” Wind forward to 30 September and …

Yesterday I discussed the related party nest of snakes financing deals done by Dev Clever (DEV) and its bonkers valuation HERE. Today, in response, a trading statement but it is all smoke and mirrors and there are gaping omissions. It is a shocker.
I start by flagging up that I aim to publish an 85 page dossier, m an opus magnus, on the sort of company Zak Mir promotes at 8.30 AM tomorrow behind the paywall. I see it as a zero. Then I discuss why Zak is, contrary to some suggestions here otherwise, a total and utter genius who did not kill Maddie and then look at his analysis of Jubilee Metals (JLP). I move on to why I’ve bought more shares in AEX Gold (AEXG) before looking at the nest of snakes at Dev Clever (DEV), its bonkers valuation and why it must collapse. I reference this excellent expose of that nest of snakes. I look at investor grief and what is happening at Supply@ME Capital (SYME) and what will happen – and when – at Dev.
This is so rotten and corrupt at every level that the FCA should be crawling all over sub Standard listed Dev Clever (DEV) and Mark Horrocks driven sub standard listed Asimilar (ASLR). It seems that FCA staff are too busy shitting under their desks to do anything about it.
Even at just 6.75p mid, the market cap of Dev Clever (DEV) is £31 million which – for a company with sub £1.5 million cash, annual sales of, perhaps, £2 million and which is heavily loss making – is ludicrous. But what is now coming ever more sharply into focus is the ludicrous financing deal with AIM listed Asimilar (ASLR).
Lockdown in our part of Wales starts in just under two hours. The Mrs has already escaped to England with Joshua. I am staying here but need some supplies so must rush to get them from a store where they don’t make you wear a face nappy before the North Wales fuzz sets up roadblocks on the bridges over the River Dee. Before my Dukes of Hazard style contraband run, I discuss various conspiracy theories over Rolls Royce (RR.) and IAG (IAG). I look at the massive issues now hanging over Verditek (VDTK) as I expose its latest desperate ramping and another past lie. But while he still enjoys his liiberty he has announced the purchase of a crap company from some tax dodgers. Will he inform HMRC of the deal so ensuring the matter is dealt with? he is clearly an honourable man....
I contacted the FCA last week about what appears to be blatant market abuse, or possibly even securities fraud, at Dev Clever (DEV) and to its credit it has sent back a non standard reply indicating that it is taking the matter very seriously. As a reminder, Dev did a placing on December 20 2019 and its CEO sold £500,000 shares a month later only to admit in February that sales for the six months to 31 October 2019 were way below forecast. How can a software firm have not had any inkling of that before the placing and CEO share dump. It defies belief. The FCA writes:

As Dev Clever (DEV) is not on AIM but on the Official List it is the FCA that bears sole responsibility for regulating its activities and which should now be investigating whether the company has committed blatant securities fraud. I have written to the chocolate teapots explaining why an urgent investigation is needed into the company and its directors.

The critical point about today's interims from Dev Clever (DEV) is that they are piss poor in the cash guzzling sense. Now I do not wish to sound like an accosting pedant and geek but there is another issue: auditors PKF Littlejohn who will have cast an eye over the numbers, have screwed up and the numbers need to be corrected and re-issued. Let me explain:
Dev Clever (DEV) listed on the Standard List in December at 1p with some true rogues subscribing for placing shares. One of them blogged a thesis that the shares were worth 50p (a £200 million market cap) and that sort of ramping saw the shares reach 13p. Today they are sharply down at 3p to sell after the release of dire interims.

I also cover Telit (TCM), UK Oil & Gas (UKOG), Dev Clever (DEV), Plus500 (PLUS) and Patagonia Gold (PGD) and other loss making companies that, for some reason, have net debt.
