Shares in Fox Marble (FOX) fell by almost 10% to 8.25p-8.5p on the back of news that it had appointed Beaufort Securities, Belfort Secs to its legion of admirers, as the company's joint broker. The assumption is that Belfort, whose clients are mainly bucket shops, will be doing a discounted placing. that is not the case, Fox has enough cash to get it through to profitability but Belfort's reputation proceeds it. Fox has gone on the record to say there is no placing.

Over at Value the Markets they claimed that the company had guided that it would do calendar 2016 sales of £1.5-£2 million when it listed (sales came in at £757,000). Given that miss VTM said "take profits" and Leon Boros of the discredited abusers and rampers nest that is ShareSoc tweeted this aggressively. But there was no official guidance from the company- that was not true. The company listed on 19 December 2016 - is anyone really claiming it guided to £1.5-£2 million 6 days before Christmas and 12 days before the year end when it would have know that its sales just ahead of the Christmas break were going to be c £757,000 ( the eventual FY number) . What total bollocks.

Now we know the reason for the £1.4 million placing at 0.135p by Union Jack Oil (UJO) a week ago. As we predicted at the time the acquisition it was targeting was at Wressle in Lincolnshire. Today we are told that Union has spent £600,000 to buy from Celtique Energie Petroleum Limited a further 3.33% interest in PEDL180 and PEDL182. Union Jack currently holds an 11.67% interest in both licences so its stake now goes to 15%.

It looked for all the world as though it was curtains for AIM-and JSE AltX- listed DiamondCorp (DCP), but an announcement on Friday sees the company having managed somehow to get a placing away to raise £1 million. Amazingly, with the shares suspended at about 2p pending clarification of financial position in November last year, the placing appears to have been concluded at 4p per share but the issue of warrants on a 1:1 basis, exercisable at just 1p rather takes the shine off that. Even so, the package looks set to raise (assuming full warrant conversion) much-needed cash at an average of 2.5p a share – a premium to the suspension price.

In the disclosures at the back of Tuesday's detailed buy note on Berkeley Energia (BKY) by Peel Hunt which the broker wants me to take down, it states that the company is a corporate client but does NOT say that "5. With the shares having traded as high as 14p just last week, this morning saw a placing to raise £2.55 million (gross) at a whopping 36% discount to yesterday’s closing bid price – and a 50% discount to the peak of last week. Tern seems to be in a bit of a downward spiral with regard to its confetti issues – the previous two placings were at 8p and then 12p.

This now allows me to publish the contract signed with Beryl Holdings, so demonstrating to you all how misleading the announcement by Potash was and also the bung involved in this deal. More critically I can now demonstrate the individuals at City firms who were aware how misleading the RNS was and - given that Potash was on the pathway to a placing - how fraudulent that is. But on the day of that first article, Companies House later showed that a correction had been filed (on 7 Jan 2016, as it turns out). A further filing appeared the next day (filed on Christmas Eve). What it seems to show is that the Admission Document was just plain wrong. Or the filings are wrong – even after the correction. This morning at 8.47am F40 AIM-listed China New Energy (CNEL) announced a contract worth CAD$3 million. The shares rocketed on the news, from an open at about 2p to peak at over 2.5p. Thirty-nine minutes later came the dump, in the form of a placing at just 1.5p in a keep-the-lights-on issue which raised just £200,000. AIM-cesspit poster-boy Daniel Stewart Securities plc (DAN) has announced the raising of £650,000 from the issued of convertible and non-redeemable bonds. It then goes on to say that a total of £630,000 has been received. So it has raised £630,000 so far, not £650,000. Perhpas that is splitting hairs. But we are also told that the company continues to work on the finalisation of a placing....which it expects to announce shortly. Ah, that word "shortly" again. I’ve been looking again at the interims from ShareProphets AIM-China Filthy Forty constituent Auhua Clean Energy (ACE) and its growth in receivables since FY14 of 60% since FY14 and of 92% since the first half last year – as against pretty flat turnover and margins. As at June this year we see that trade and other receivables of RMB 200.4 million as noted under current assets sit at 177% of (slightly falling) turnover of RMB 112.8 million. That looks just a tad on the high side.

Earlier today I stated that Motive TV (MTV) was set to raise £400,000 at 0.1p and was passing the hat around. Well almost right, I guess I forced the company’s hand as the shares started to crumble and so it closed the book early and after hours announced that it had raised £350,000 at 0.125p. Given that the shares closed at 0.185p (but were trading at 0.22p as the placing was being done until I ruined the party) the discount is still enormous. This is a 22 billion rum ‘n coke – the statement published shows that someone is avin a bubble.

Mirada (MIRA) has announced 28 million new shares have been conditionally placed at 12.5p each to raise a gross £3.5 million (net £3.3 million). We are angry about certain matters but the shares are cheap.

Another day and another “contract win” announced by Avanti Communications (AVN) – natch the value is undisclosed. Friday’s Victor Meldrew “contract win” was – as I explained HERE – very peculiar indeed. And the directors are all making small share purchases. Its ramp ramp ramp time because Avanti desperately needs to do a placing.

Clean Air Power (CAP) has just raised £1 million at 4p – a 27% discount to the share price the day before the RNS. The stock now trades at a new year low of 4.125p and this appears a lesson in red flags. I’d not wan t to hold this stock as it strikes me that it is full of CAP.

Inspirit, Director Dealing, A City Spiv and Reasons to Buy

On Monday Inspirit (INSP) chairman David Lenigas bought, with the clearance of his Nomad, 1.5 million shares at 1.5p. On Tuesday a City spiv broker approached Inspirit and said he wanted it to place £250,000 shares with a client of his at 1.2p. We are lead to believe that this client has a short position opened up at 1.55p plus in Inspirit on the back of an RNS earlier this week which saw the shares hit 1.7p (some non-news on the manufacturing process).

Sell Rose Petroleum – Target Price 1.6p

Following an AGM on Friday 434 million new shares in Rose Petroleum (ROSE) (33% of the enlarged share capital) will be issued on Monday. Ben Turney explained this shocking state of affairs HERE. Some mug punters seem to read a few things on charts and reckon that the shares – now 2.28p – could hit 4p. Nonsense, they are a sell with a 1.6p target. Here’s why. 

Volex – ramping Research, Odd Director buying and a ludicrous valuation

This just looks all wrong. Even based on the numbers in the latest paid for PR piffle (I mean in-depth research note) from Edison, shares in Volex (VLX) are at 80p ludicrously overvalued. The very odd behaviour of the directors makes this smell even worse.

Shares in AIM listed New World Oil & Gas (NEW) were trading at 9.625p a year ago. Today they are at 1.85p. Shareholders have every reason to be unhappy with the board. But it gets worse. Much worse.
