Frontera’s Zaza is Chamberlain not Churchill – caves to death spiral provider Yorkville – share blizzard ahoy

We shall fight on the beaches, we shall fight on the landing grounds, we shall fight in the fields and in the streets, we shall fight them in the law courts. So said Zaza Churchill of Frontera Resources (FRR) last month after his company defaulted on an agreement with death spiral provider Yorkville, failed to hand over shares, lied via RNS and ended up with a legal dispute. Oh well, it turns out that Zaza is not Churchill but Chamberlain after all. And it is not just one little piece of paper that is on the way but billions more pieces of confetti, worthless share certificates.

Winnileaks strikes again: Frontera (again) lies to and misleads investors over Yorkville – when will its Nomad force it to tell the truth?

Yesterday Frontera Resources (FRR) received a second lawyers letter from convertible loan note provider Yorkville in regard to the $2.65 million outstanding debt on which it is now in default. The letter accused Frontera of lying to investors.  Frontera has not disclosed that letter, or its contents nor has it repaid the sums due to Yorkville Instead it has issued another RNS which is simply misleading. It is doubling down on lying and apparently Nomad cairn is fine with that?

Frontera Resources falls out with Yorkville which calls in $2.65m debt – it is fecked, will Nomad Cairn walk?

In the end the chaps at Nomad Cairn walked from Cloudtag (CTAG) when it was clear that it was a fraud run by liars. Frontera Resources (FRR) is a shit show run by liars and a fallout with death spiral provider Yorkville (YA) today could be the final straw for Cairn – might it resign leaving the (worthless) shares suspended? Or will Frontera just go bust?

Frontera cant repay death spiral debt so extends it - at a cost and it still has no cash

I wonder how the whore blogger, Fat Bastard himself, Mr Malcolm Graham Wood will explain this away as good news. After all that is what Frontera (FRR) pay him for. In essence Frontera has no cash, is burning cash and had to repay $2.891 million to death spiral provider Yorkville on 16 June. Problemo! 

Tern: Is this going to be the worst ever example of the death spiral?

I must admit to having a slightly morbid fascination with the various death spiral variants. They all look so similar on the face of it but the devil is in the detail and although the one announced by Tern (TERN) on Thursday looks harmless enough, it could easily crucify the share price, much more so than has been seen already.

I last covered BOS Global (BOS) in early September when the CEO and founder, Michael Travia, quit suddenly (HERE) and I warned about the future. At the time the share price was over 7p; it’s now 3p. For the avoidance of doubt, I don’t think it’s a bargain now but I thought it worth commenting on the continued role of Mr Travia in this ongoing decline as he is currently playing an idiotic, poor-man’s version of Darwin or Yorkville.

Frontera – YA cashes in convertible shares at 0.09p: share price madness!

AIM-listed, Cayman Islands registered, Houston (USA)-based and with Georgia operations Frontera (FRR) has announced that YA II PN Ltd (aka Yorkville) has cashed in by converting convertible stock at just 0.09p. With the shares having raced up from sub-0.1 pence to 0.3625p earlier today, on the back of a series of soft PR interviews, website updates and corporate musical chairs, private investors are once again being screwed.

Wishbone – Yorkville fund raise, at up to and including 0.8p BUY

Wishbone Gold (WSBN) has announced an £800,000 fund raise at 0.7p. Well we wish it was that simple. The mechanism is really very complicated but involves Yorkville so we imagine that there are people out there saying Death Spiral. They are wrong.

AIM Dog Servision: another warning and it is death spiral and dilution frenzy ahead

When serving up god-awful FY numbers on deadline day ( June 30th) it was shown that uber dog Servision (SEV) had serially misled investors and indeed told outright lies over the prior half year. Rover also served up its second profits warning in two weeks with the god-awful numbers and 'fessed up "Our working capital position is tighter than we anticipated" - I should cocoa. Today it got worse.

The other day Red Rock Resources (RRR) announced a deal to fund the Steelmin smelter in Bosnia which involved some alternative financing from Yorkville. At once the critics of boss Andrew Bell - of whom there are more than a few - screamed "death spiral, dilution, the man hads gone mad." A few critics disagreed, arguing that Bell had always been mad. But perhaps before leaping to conclusions it is worth looking atnthe actual structure of the deal?

Xtract Resources – Funding RNS obfuscation at its worst: disappointing

I was starting to warm to Colin Bird at Xtract Resources (XTR) with his decisive action and straight-talking, although today’s hugely disappointing funding RNS which needs about five reads and three espressos to understand leaves me feeling cold, although I’m guessing Beaufort Securities and Beaumont Cornish should shoulder some of the blame.

Frontera Resources – After the pump…….

Having pumped up the share price at the start of last week with yet another ramptastic operations update, all rather predictably comes the dump. This morning AIM-listed Frontera Resources (FRR) announced the draw-down of another £382,550 under a Standby Equity Distribution Agreement (SEDA) – for which read death spiral – with YA II PN Ltd (for which read Yorkville). Another wheelbarrow-load of confetti, 402,684,211 shares, has been issued at 0.095p per share. We are told this will be used to advance work programs of the Company.

Servision - overtakes the fraud African Potash with the most expensive loan in AIM history - 33%

Servision (SEV) has today announced its interim results and they are dismal. The company is bust and why it's advisors (Nomad Allenby, broker Belfort Securities & PR himbo Christian Taylor Wilkinson at Cadogan Leander) do not call it a day and walk defies belief. It shows all three are morally bankrupt.The results are analysed in a bearcast special HERE. But I flag up in itw own right a loan Servision has taken from Yorkville which seems to be the new, most expensive loan , in AIM Casino history - at 33% - it is 5 percentage points dearer than the loan the FRAUD African Potash (AFPO) took out from Katrina Clayton, the wife of its FD. Frankly Servision would be better off borrowing on Christian T-W's credit card and splitting the difference.

Servision – increased undrawn SEDA Death Spiral which it does not intend to draw?

Tom Winnifrith has stuck the knife into AIM-listed Servision plc (SEV) more times than Avanti (AVN) has missed performance targets – see HERE. And so today we learn that the company has amended the terms of a financing package with YA II PN Ltd (otherwise known as Yorkville) which involved a loan agreement backed by a standby equity distribution agreement (SEDA) – for that, read “death spiral”. But the comedy is in the text of the RNS.

Challenger Acquisitions - this will be a slow motion car crash

Challenger Acquisitions (CHAL) was always going to be a car-crash in slow motion. The IPO on 19 February 2015 raised £1.1 million with significant support from Yorkville Advisors so Challenger started life as a public company with a 30% overhang. It then funded its first acquisition, the investment in the New York Wheel, via £3 million of relatively short-term convertible debt – there was clearly potential for death spiral funding to come.
